MINORS’ DATA ADDENDUM

- This WBD Minors’ Data Addendum (the “Minors’ Data Addendum”) applies to the Processing of Personal Information of Minors as described in the Description of Processing attached to the relevant Agreement and incorporated herein by reference (“Description of Processing”) and in any agreement between Company and WBD.
- This Minors’ Data Addendum is supplemental to and forms part of any agreement between Company and WBD under which Company Processes Personal Information of Minors (each, an “Agreement”) and is effective as of the date executed by Company.
- All capitalized terms in this DTA shall have the meaning set forth in the WBD Data Protection Definitions available at: www.wbdprivacy-b2b.com/definitions, as updated or amended by WBD from time to time and which are incorporated herein by reference.
- Vendor will comply with all applicable Minor’s Online Protection Laws.
- In providing Services for Minors’ Properties, Vendor will not collect, process or use Personal Information of Minors, in a way that would require WBD or another entity to obtain or have obtained opt-in consent or verifiable parental consent, unless Vendor has been informed by WBD in writing that opt-in consent or verifiable parental consent has been obtained or there is another legal basis for data processing.
- In processing Personal Information of Minors for the Services, Vendor must:
- Use Personal Information of Minors as specified in the Agreement solely, and in no event other than, for one or more of the following activities necessary to support the internal operations of the Minors’ Properties: (i) maintain or analyze the functioning of the Minors’ Properties, (ii) perform network communications, (iii) authenticate users, (iv) personalize content as agreed to in writing with WBD, (v) serve Contextual Advertising, (vi) Frequency Capping, (vii) protect the security or integrity of the Minors’ Properties or the Services, or (viii) ensure legal or regulatory compliance. Vendor will not use Personal Information of Minors for any other purpose, unless otherwise agreed to in writing with WBD and Vendor has been informed by WBD that opt-in consent or verifiable parental consent has been obtained, or there is another legal basis for data processing;
- Prevent Vendor and third parties from the selling or sharing of Personal Information of Minors and directing targeted ads and marketing to Minors’ Properties unless Vendor has been informed by WBD in writing that it has established an appropriate legal basis for targeting to Minors, such as opt-in consent for some Teens or verifiable parental consent for some Children.
- Adequately disclose its processing of Personal Information of Minors in Vendor’s privacy notice;
- Honor WBD’s additional written instructions for Processing Minor’s Data, including with respect to information communicated in an advertising consent signal (e.g., GPP); with a signal identifying an individual or device as a Minor, Teen, or Child; or in conjunction with age or age-range information;
- Implement and maintain reasonable administrative, physical, and technical safeguards to maintain the confidentiality, security, and integrity of Personal Information of Minors in accordance with written data security obligations between the parties and, at all times, in compliance with security obligations under applicable Data Protection Laws. Vendor will delete Personal Information of Minors upon WBD request or upon termination or expiration of the Agreement; and
- Ensure that Vendor will comply with the obligations and restrictions in this Minors’ Data Addendum and the Agreement whenever Vendor (i) shares Personal Information of Minors with affiliates, partners, or service providers, and (ii) uses technology or software that accesses, collects, uses, or otherwise processes Personal Information of Minors.
- Upon WBD request, Vendor will provide information sufficient to confirm its compliance with this Minors’ Data Addendum. Vendor will notify WBD at wbdprivacy@wbd.com if it can no longer meet its obligations under Minors’ Online Protection Laws or if its continued processing is likely to cause WBD to violate Minors’ Online Protection Laws. Vendor grants WBD the right to take reasonable and appropriate steps to stop and remediate any unauthorized use of Personal Information of Minors.
